GLA & Co Advises KFIC on Merger by Amalgamation with Rasameel
GLA & Company is pleased to announce its role as lead legal counsel to KFIC Invest Company K.S.C.P. (KFIC) on its merger by amalgamation with Rasameel Investment Company K.S.C.C. (Rasameel), a milestone transaction in Kuwait’s investment sector. The Kuwait Capital Markets Authority approved the merger project on 26 November 2025, with KFIC to remain as the surviving entity following completion of the statutory procedures.
Under the merger terms and based on independent advisor and valuation reports, KFIC will issue new shares to Rasameel’s existing shareholders in exchange for their Rasameel shares. Completion remains subject to Extraordinary General Assembly approvals of both entities and receipt of all requisite regulatory clearances.
This transaction underscores the continued momentum toward consolidation and scale within Kuwait’s financial services ecosystem and reflects the market’s growing sophistication. GLA & Company advised across all workstreams, including structuring, drafting and negotiation of the merger documentation, due diligence, and regulatory engagement with the CMA, the Central Bank of Kuwait, and the Kuwait Competition Protection Agency.
The transaction was headed and supervised by Legal Director, Mohammad Al Awadhi, with support from Partner, Hegui Taha, Associates, Farida Koura, Khaled Khashab and Khaled Al Makhazeem as well as,trainee lawyers, Liana Rashid and Maha Abdullah.
