• Represented SNF Group (France) as part of its lead Kuwait competition counsel as it relates to the acquisition of Syensqo’s global oil and gas specialty chemicals business (complex multi-jurisdictional carveout), preparing and filing the economic concentration application before the Kuwait CPA. Value: EUR 135 million.
• Represented DoorDash, Inc. as part of the lead Kuwait competition counsel on its acquisition of Cari (OmniServe) operations, filing the first-ever exemption application under Article 9 of Kuwait Competition Law No. 72 of 2020 before the Kuwait CPA and securing post-completion clearance.
• Acted as part of the regional antitrust and merger control counsel for BRF GmbH on its joint acquisition (with HPDC/PIF) of One Foods Holdings Limited, filing merger control notifications across Kuwait, UAE, Oman, and Qatar. Total transaction value: USD 2.07 billion.
• Represented ACWA Power in connection with the Kuwaiti regulatory aspects of its approximately USD 693 million acquisition of ENGIE’s power and water desalination assets in Kuwait and Bahrain, including securing merger clearance from the Kuwait Competition Protection Agency.
• Represented DHL eCommerce International Holdings B.V. in connection with the merger control aspects of its acquisition of a 49% stake in AJ Express Ltd from Ajlan & Bros Holding Group Company, securing merger clearance from the Kuwait Competition Protection Agency.
• Advised Hikma MENA FZE on the antitrust and merger control aspects of its acquisition of a pharmaceutical asset portfolio from Takeda Pharmaceuticals International AG, including a merger control filing in Kuwait.
• Represented Boubyan Ventures Holding Company K.S.C.C. in connection with the merger control aspects of its acquisition of a 30% stake in Holistic Development for Financial, Economic and Management Consultancy and Business Incubators W.L.L. from the existing shareholders, securing merger clearance from the Kuwait Competition Protection Agency.
• Advised merger control clearance aspects of Zain Group’s $134 million acquisition of a 70% stake in IHS Kuwait Limited.
• Advised NMDC Group PJSC on the regulatory, antitrust, and competition aspects of its acquisition of a 70% stake in EMDAD LLC, ensuring compliance with competition laws across the MENA Region.

Litigation

• Advised and successfully represented Utilities Development Company W.L.L. (“UDC”), the concessionaire of the Sulaibiya Wastewater Treatment and Reclamation Plant — one of the largest wastewater treatment facilities in the world — in multiple claims against the Ministry of Public Works (“MPW”) arising under a 30-year Build, Operate and Transfer (“BOT”) concession contract valued in excess of KWD 300 million. The claims concerned compensation for secondary wastewater treatment necessitated by new obligations imposed under Kuwait’s Environment Protection Law that were not contemplated at the time of contracting, unpaid entitlements for secondary treatment of overflow wastewater exceeding the reclamation plant’s capacity during periods when insufficient electrical power was supplied to operate the expanded facilities, and compensation for reduced water production resulting from a fire at the main 132KVA substation operated by the Ministry of Electricity and Water (“MEW”), which caused prolonged power outages across the entire plant.
• Advised and successfully represented the Fluor-Hyundai-Daewoo consortium (“FHD”) as main contractor to a multi-billion-dollar oil refinery project in proceedings before the Kuwait courts in which a vendor/subcontractor sought the annulment of the ICC arbitration clause contained in the purchase order terms and conditions. The court dismissed the vendor’s case in its entirety, upholding the validity and enforceability of the ICC arbitration clause and finding that the vendor had consented to the arbitration agreement by signing the purchase order, that the terms and conditions were an integral part of the purchase order, and that the vendor’s prior recourse to judicial arbitration constituted an implicit acknowledgment of the clause.
• Advised AstraZeneca on the local enforcement in Kuwait of an arbitral award issued by the London Court of International Arbitration (LCIA) for USD 19 million, involving a dispute arising under a regional distribution and licensing agreement. Provided strategic guidance on the procedural requirements for recognition and enforcement of foreign arbitral awards under Kuwaiti law, including compliance with the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards. Successfully guided the client to an internal settlement without resorting to judicial enforcement proceedings, achieving a commercially favourable resolution on an expedited basis.

• Advised Santen SA, one of the world leaders in the ophthalmic pharmaceutical market, in its distribution arrangements in the state of Kuwait and Qatar;
• Advised AbbVie Biopharmaceuticals, a world leading biopharmaceutical company, with respect to its overall business arrangement and operations in the state of Kuwait;
• Regularly advising National Technology Enterprises Company (NTEC) and its affiliates on various transactional and commercial matters in the State of Kuwait;
• Advised Siemens Electrical and Electronic Services KSC on wide ranging areas of Kuwait law and assisting with the day-to-day legal requirements;

• Advised multiple telecommunication companies in Kuwait in ensuring regulatory compliance with local data protection laws.

• Advised multiple European luxury fashion house brands in updating their Kuwait privacy policies and online terms of purchase in accordance with applicable Kuwait laws.

• Advised KFIC Invest Company K.S.C.P. (KFIC) on its merger by amalgamation with Rasameel Investment Company K.S.C.C. (Rasameel), including due-diligence, transaction document support, and securing the approval of the Capital Markets Authority for the transaction.
• Advised Bank Muscat, Kuwait branch, on its exit and liquidation in Kuwait, including due-diligence work and securing the Central Bank of Kuwait’s approval for its exit plan.
• Advised UAE-based Al Ansari Financial Services’ $200 million acquisition of BFC Financial Services Group.
