GLA & Company Acts as UAE Legal Counsel in Starry Sea $400 Million Deal

Dubai, 22 August 2026: GLA & Company, the leading MENA-based regional law firm, is proud to announce that it served as UAE legal counsel to Starry Sea Acquisition Corp (Nasdaq: SSEA), a Cayman Islands special purpose acquisition company, in connection with its business combination with SuperiorMed Holdings Limited, a Cayman-incorporated holding company and the parent of a Dubai-based healthcare management and services platform.

The transaction is structured as two concurrent Cayman Islands mergers: a “SPAC Merger” of SSEA into a newly formed Purchaser entity, SuperiorMed Healthcare Group, and an “Acquisition Merger” of a Merger Sub into SuperiorMed, with SuperiorMed surviving as a wholly owned subsidiary of the Purchaser. Upon consummation, the Purchaser is expected to be a publicly traded company listed on Nasdaq. The transaction values SuperiorMed at US$400 million.

The deal required coordination across multiple legal systems in a single integrated structure, including dual concurrent Cayman statutory mergers, a UAE free-zone restructuring involving authority registrations, UBO updates and licensing for the Dubai subsidiary and UAE operating companies, BVI shareholder entities, U.S. securities law and Nasdaq de-SPAC compliance, and a China-based operating business.

This transaction further solidifies GLA & Company’s position as a leading regional law firm in cross-border capital markets and M&A transactions.
