Mohammed Al Mandeel is a Partner and Head of GLA & Company’s Riyadh office. A seasoned corporate lawyer with over 15 years of experience, Mohammed is a recognized advisor in Saudi Arabia’s corporate and M&A landscape, advising local and international clients on complex and high-value transactions across key industries.

His practice focuses on mergers and acquisitions, joint ventures, corporate structuring, governance, and general commercial advisory matters. He has led on numerous high-profile mandates in sectors including energy, infrastructure, education, financial services, and retail, contributing to Saudi Arabia’s Vision 2030 diversification goals.

Mohammed is known for his pragmatic and commercially driven approach, often praised for his ability to navigate intricate legal frameworks and deliver tailored, business-oriented solutions. Beyond his transactional work, he regularly advises boards and executives on regulatory compliance, corporate governance, and Capital Market Authority (CMA) regulations.

As Head of GLA’s Riyadh office, Mohammed plays a pivotal role in strengthening the firm’s presence in the Kingdom and fostering collaboration across its regional offices. He is also deeply committed to mentoring young Saudi lawyers and promoting knowledge-sharing through seminars and thought leadership initiatives.

Before joining GLA & Co, Mohammed spent a decade at Baker McKenzie’s Riyadh office and gained experience with Simmons & Simmons and Al Zamil & Al Kharashi Law Firms. He is licensed to practice law by the Ministry of Justice in the Kingdom of Saudi Arabia.

Corporate
  • Advising Abdullah Hashim Group (AHG), the largest private industrial gases company in Saudi Arabia, in relation to the US$166 million sale of a 25% stake in AHG to Air Products.
  • Advising a multinational luxury goods conglomerate on corporate reorganization of their activities in the Gulf region.
  • Assisting in advising Navantia in connection with a multi billion Euro sale of warships to the Royal Saudi navy and a joint venture with a government owned company in Saudi Arabia, including advice on government procurement and corporate law, as well as assistance in drafting and negotiation of contracts.
  • Advising Guerlain (part of LVMH Group) on their joint venture in Saudi Arabia and France with Sara Group and Beauty Vision and transfer of existing distribution business for perfumes.
  • Assisting in advising the Ar-Riyadh New Mobility Consortium led by Salini Impregilo on various corporate and commercial and regulatory matters including government contracts and real estate matters in relation to its performance of Package 2 of the US$ 30 billion Riyadh Metro Project.
  • Assisting in advising Hitachi Plant Technologies in relation to its acquisition of 70% of Saihati Weir Engineering Services, an industrial equipment overhaul and maintenance facility.
  • Assisting in advising Olayan/CH2M on the establishment of a joint venture limited liability company to engage in contracting services in the energy and gas field.
  • Assisting in advising Arabian Healthcare Supply Company in relation to its joint venture with Baxter Holding B.V. to produce kidney dialysis products.
  • Advising on various foreign/local investors multinational companies on Saudi Foreign Investment laws which includes incorporating and investing in setting up Joint ventures, limited liability companies and Joint Stock Companies in Saudi Arabia and general day to day business legal advice that includes labor law and general advisory on various Saudi laws.
Capital Markets
  • Advising on the initial public offering of one of the largest construction groups in the Kingdom of Saudi Arabia.
  • Advising Saudi Fransi Cooperative Insurance Company (“Allianz”) in relation to its rights issue offering.
  • Advising Al Ahliah Cooperative Insurance Company in relation to its rights issue offering.
  • Assisting in advising Alawwal Bank on the merger control process in connection with its merger with The Saudi British Bank (SABB), in a share for share merger valued at approximately USD 4.9 billion.
  • Advising multinational suppliers and distributors in relation to Saudi competition laws matters (e.g. prohibited practices, exclusivity, RPM, information sharing)
  • assisting in relation to various IPO’s, PP, Rights issues in Saudi Arabia, including due diligence reviews and drafting prospectuses and preparing submission documents to government authorities.
Health Care, Telecommunications and Information Technology:
  • Assisting an on-demand cloud computing platforms company in relation to the set-up of a presence in Saudi Arabia for hosting data servers and conducting Cloud Computing Services.
  • Assisting a multinational technology company in relation to converting their Saudi entity from a service entity to a trading entity and assist them in relation to a major logistics project in the Kingdom of Saudi Arabia.
  • Establishing IQVIA Saudi Arabia (formerly known as IMS Health Saudi Arabia) and working on registration of their services in KSA, advising on their acquisition of a local health care services company.
  • Providing legal advice on various KSA legal matters concerning Pfizer, GE Health, Johnson & Johnson.
  • Providing legal support to Hill-Rom Inc on its deal with a Saudi government hospital in relation to the supply of its hospital beds contract.
  • Providing various legal advice local entities on establishing health care centers and hospitals, providing various entities with the registration of their healthcare personnel on the registration of their experts with the Saudi commission for health specialities.
