Dean Jaloudi is a Partner and Head of the Qatar office of GLA & Co.

He has worked for international law firms in Doha since 2018 and previously worked as a corporate/commercial lawyer in Dubai from 2012 to 2017.

Dean’s area of expertise is equity capital markets (ECM) transactions on the Qatar Stock Exchange (QSE). He advised Baladna QPSC and QLM Life & Medical Insurance QPSC on their successful initial public offerings (IPOs) on the QSE. He has also recently advised several Qatari companies on their proposed conversion and direct listing on the QSE.

Dean has also advised the first Qatar-based independent venture capital fund manager on the establishment in the Qatar Financial Centre (QFC) of the first VC fund under the rules of the QFC. Dean advised on all legal aspects of this project, from the drafting of an Offering Document, Fund Articles of Association, Investment Management Agreement, Fund Administration Agreement, and other legal documents, to advising on compliance with the rules and regulations of the QFC.

In addition to ECM and funds work, Dean regularly advises on a wide range of corporate and commercial matters, including joint venture agreements, incorporations, shareholder agreements, share transfers, restructurings, and commercial advisory work.

Corporate

  • Advising a Qatari listed company on legal issues in connection with the distribution of dividends and impact of 2021 Amendments to the 2015 Commercial Companies Law
  • Advising multinational corporations on corporate structuring options in Qatar, including choice of jurisdiction (State/Ministry system, QFC, QFZ, QSTP, Media City Qatar) and legal form (Branch, LLC, Private Shareholding Company, etc.)
  • Advising a Qatari state-owned investor on the acquisition of a waste management business, leading all workstreams from legal due diligence to deal structuring to drafting transaction documents (term sheet, SPA, amended MOA/AOA of the target)
